Abstract

This study provides a comparative institutional analysis of corporate governance models by examining their structures, mechanisms, and operational frameworks and the extent to which they are shaped by the legal, financial, economic, and institutional characteristics of their respective environments. Using a comparative descriptive and analytical approach, the study examines the market-oriented, network-oriented, and hybrid models across several dimensions, including ownership structure, financing sources, board structure, stakeholder participation, internal and external control mechanisms, disclosure, and legal enforcement. The findings indicate that the effectiveness of governance mechanisms depends less on their formal existence than on their compatibility with the institutional environment in which they operate. Hence, no single universal model can be applied with equal effectiveness across all countries. The analysis of Algeria further indicates a transitional and hybrid governance system that requires stronger enforcement, enhanced shareholder protection, further financial-market development, and more effective boards of directors. The study therefore emphasizes locally adapted reforms rather than the direct transplantation of foreign governance models.
